End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or the entity you represent, "you") and IMSATYA ("IMSATYA", "we", "us", or "our") governing your use of the IMSATYA software, applications, and services, including the "Pulse" infrastructure monitoring product and the "Sentinel" AI assistant (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install, access, or use the Software.

This EULA supplements our Terms of Service and Privacy Policy. In case of conflict regarding software licensing, this EULA controls.

1. License Grant

Subject to your compliance with this Agreement and payment of any applicable fees, IMSATYA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your internal business or personal operational purposes during the term of your subscription.

2. License Restrictions

You shall not, and shall not permit any third party to:

Copy, modify, adapt, translate, or create derivative works of the Software except as expressly permitted;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party;
Remove, alter, or obscure any proprietary notices on the Software;
Use the Software to build a competing product or service;
Circumvent or disable any security, licensing, or usage-metering features;
Use the Software in violation of any applicable law or our Acceptable Use Policy.

3. Monitoring Agents and Connected Services

The Software may include monitoring agents you install on your own infrastructure and integrations that connect to third-party platforms (for example, your hosting or deployment provider) at your direction.

You are responsible for installing agents and authorizing integrations only on systems and accounts you own or are authorized to manage.
When you connect a third-party account, you authorize IMSATYA to access, receive, store, and process data and events from that account solely to provide the monitoring, alerting, and reporting features of the Software.
Access tokens and credentials obtained through such connections are stored encrypted and used only to operate the integration on your behalf. You may disconnect an integration at any time, which revokes the associated access.
Your use of any third-party service remains subject to that provider's own terms and policies. IMSATYA is not responsible for third-party services.

4. Ownership and Intellectual Property

The Software is licensed, not sold. IMSATYA and its licensors retain all right, title, and interest in and to the Software, including all related intellectual property rights. You retain ownership of the data you submit or that is collected from systems and accounts you connect ("Your Data"). You grant IMSATYA a non-exclusive, worldwide, royalty-free license to process Your Data solely to provide and improve the Software, as further described in our Privacy Policy.

5. Updates and Changes

IMSATYA may provide updates, patches, or new versions of the Software from time to time. Such updates may be automatically installed and are governed by this EULA unless accompanied by separate terms. We may add, modify, or discontinue features with reasonable notice.

6. Fees and Subscription

Access to certain features requires a paid subscription. Fees, billing, renewal, and cancellation are governed by our Terms of Service. Failure to pay applicable fees may result in suspension or termination of your license.

7. Confidentiality

The Software, its underlying technology, and any non-public information disclosed by IMSATYA are confidential. You agree to protect such confidential information and to use it only as necessary to exercise your rights under this Agreement.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MONITORING DATA WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMSATYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE. IMSATYA'S TOTAL LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE FEES YOU PAID TO IMSATYA IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU PAID NO FEES.

10. Term and Termination

This EULA is effective until terminated.
It terminates automatically if you breach any of its terms.
You may terminate by ceasing all use of the Software and deleting all copies and agents under your control.
Upon termination, all licenses granted to you end and you must stop using the Software. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, limitation of liability, and indemnification) will survive.

11. Indemnification

You agree to indemnify, defend, and hold harmless IMSATYA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Software, Your Data, your connected accounts, or your violation of this Agreement or applicable law.

12. Export and Compliance

You agree to comply with all applicable export control and sanctions laws and represent that you are not located in, or a resident of, any jurisdiction subject to comprehensive sanctions, and are not on any restricted-party list.

13. Governing Law

This Agreement is governed by the laws of the United States and the State of California, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the federal and state courts located in California.

14. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and IMSATYA regarding the Software and supersedes all prior agreements and understandings.
