1. Agreement to Terms
By accessing and using the IMSATYA platform, website, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our Service. We reserve the right to modify these Terms at any time, and such modifications become effective immediately upon posting.
2. Service Description
IMSATYA provides a product studio platform offering infrastructure monitoring and alerting services, including our primary offering "Pulse" (infrastructure monitoring tool) and "Sentinel" (AI-powered monitoring assistant). The Service includes:
- Real-time infrastructure monitoring and metrics collection
- Alert configuration and notification delivery
- Performance reporting and dashboards
- Multi-tenant account and team management
- Subscription management and billing
3. User Eligibility
- You must be at least 18 years of age to use the Service.
- You must have the legal capacity to enter into a binding agreement.
- You must not be prohibited from using the Service under applicable laws.
- You agree to provide accurate, complete, and current information when creating an account.
4. Account Creation & Management
4.1 Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, truthful information and to maintain the confidentiality of your account credentials. You are responsible for all activity on your account.
4.2 Account Security
- You are solely responsible for maintaining the confidentiality of your password and account information.
- You agree to immediately notify us of any unauthorized use of your account or any breach of security.
- You are responsible for all activities that occur under your account, whether by you or a third party with your credentials.
- We reserve the right to disable accounts that we believe violate these Terms.
4.3 Multi-Tenant & Team Management
If your account is managed by an organization (tenant), the tenant administrators have authority to manage your account, access your data, and control your permissions. By joining a tenant, you acknowledge and consent to this management structure.
5. Subscription Terms & Billing
5.1 Subscription Plans
We offer multiple subscription tiers (Free, Professional, Business) with varying features and data retention periods. Plans and pricing are subject to change with 30 days' written notice.
5.2 Billing
- Auto-Renewal: Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- Payment Method: You authorize us to charge your payment method for subscription fees and any applicable taxes.
- Billing Disputes: You must report billing errors within 30 days of the charge. We will investigate and resolve legitimate disputes.
- Failed Payments: If a payment fails, we will attempt to retry. If payment is not received, your account may be suspended or terminated.
- Currency & Taxes: All prices are in USD unless otherwise stated. You are responsible for applicable taxes based on your location.
5.3 Cancellation & Refunds
- You can cancel your subscription at any time through your account settings.
- Cancellation is effective at the end of your current billing period.
- Refund Policy: We do not provide refunds for partial subscription periods. Upon cancellation, you retain access until the end of your current billing period.
- Upon cancellation, your account data may be retained for up to 30 days before permanent deletion.
6. Acceptable Use Policy
You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:
6.1 Illegal & Harmful Activities
- Violating any local, state, national, or international law or regulation
- Engaging in fraud, deception, or misrepresentation
- Transmitting malware, viruses, or malicious code
- Unauthorized access to systems or accounts (hacking)
- Facilitating money laundering, terrorism, or other criminal activities
6.2 Abuse & Harassment
- Threatening, harassing, abusing, or defaming any person or entity
- Stalking, bullying, or intimidation
- Sending unsolicited bulk communications or spam
- Impersonating others or misrepresenting affiliation
6.3 Service Abuse
- Attempting to bypass security measures or rate limits
- Reverse engineering, decompiling, or attempting to derive source code
- Excessive API calls or resource consumption that disrupts service for others
- Running automated scripts without authorization (except through approved APIs)
- Attempting to access data belonging to other users
6.4 Intellectual Property Violations
- Uploading or sharing content that violates copyright, trademark, or patent rights
- Using the Service to distribute pirated software or content
6.5 Consequences of Violation
We may investigate suspected violations and take appropriate action, including:
- Warnings or notices of violation
- Temporary or permanent suspension of account access
- Termination of your subscription without refund
- Reporting to law enforcement if illegal activity is suspected
- Legal action to recover damages
7. Data Ownership & Intellectual Property
7.1 Your Data
- Ownership: You retain ownership of all data you upload, create, or input into the Service (your "User Data").
- License to IMSATYA: You grant IMSATYA a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your User Data solely to provide and improve the Service.
- Aggregated Data: We may collect aggregated, anonymized data from all users to improve our Service, conduct research, and generate reports. This aggregated data does not identify you.
- Data Deletion: Upon account termination or data deletion request, we will securely delete your User Data within 30 days, except where retention is required by law.
7.2 Service Intellectual Property
- All content, software, features, and functionality of the Service are owned by or licensed to IMSATYA.
- You may not copy, modify, distribute, or create derivative works without explicit written permission.
- You grant us a license to use feedback, suggestions, and bug reports you provide to improve the Service.
8. Limitation of Liability
8.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. IMSATYA DISCLAIMS ALL WARRANTIES INCLUDING:
- Warranty of merchantability or fitness for a particular purpose
- Warranty of non-infringement of third-party rights
- Warranty that the service will be uninterrupted, error-free, or secure
- Warranty of accuracy or completeness of monitoring data
8.2 Limitation of Damages
IN NO EVENT SHALL IMSATYA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Cost of substitute services or goods
- Business interruption or downtime
8.3 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMSATYA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO IMSATYA IN THE 12 MONTHS PRECEDING THE CLAIM. IF YOU PAID NO FEES, LIABILITY IS LIMITED TO $100.
8.4 Exceptions
Some jurisdictions do not allow limitation of liability for certain claims. In such cases, the above limitation does not apply to the extent prohibited by law. The parties agree that this allocation of risk is reasonable given the pricing and nature of the Service.
9. Service Level Expectations
- We aim to maintain 99.5% uptime for the Service during business hours.
- We do not guarantee specific response times for monitoring alerts.
- Scheduled maintenance windows (if any) will be announced in advance.
- We do not provide service level agreements (SLAs) except as expressly stated in a separate paid agreement.
- Your sole remedy for service interruptions is account credit or cancellation, subject to the liability cap above.
10. Confidentiality
Each party agrees to maintain the confidentiality of non-public information received from the other party and to use such information only for purposes of providing or receiving the Service. This obligation does not apply to information that is: (a) publicly available, (b) already known, or (c) required to be disclosed by law.
11. Termination
11.1 Termination by You
You may terminate your account at any time by visiting your account settings or contacting support. Termination is effective immediately, and your data will be retained for 30 days before deletion.
11.2 Termination by IMSATYA
We may terminate your account or suspend your access immediately if:
- You violate these Terms, our Acceptable Use Policy, or other policies
- Payment fails and is not resolved within 7 days
- We believe your account poses a security or legal risk
- You use the Service for unlawful purposes
We will attempt to notify you of termination unless you have violated our policies in a way that prevents notification.
11.3 Effects of Termination
- Your account will be deactivated and access to the Service will cease.
- Any outstanding invoices remain due and payable.
- Your User Data will be retained for 30 days then permanently deleted.
- Sections of these Terms that by their nature survive termination will continue to apply.
12. Indemnification
You agree to indemnify, defend, and hold harmless IMSATYA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your violation of these Terms
- Your use of the Service in violation of applicable law
- Your User Data or its transmission, storage, or use
- Third-party claims arising from your actions or omissions
13. Third-Party Services & Links
The Service may integrate with or link to third-party services, APIs, or websites. We are not responsible for the accuracy, availability, or content of third-party services. Your use of third-party services is subject to their terms of service and privacy policies. We do not endorse third-party services and are not responsible for damages arising from their use.
14. Governing Law & Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflicts of law provisions.
14.2 Dispute Resolution
- Informal Resolution: Before filing a formal claim, the parties agree to attempt to resolve disputes informally through good-faith negotiation.
- Jurisdiction: Both parties consent to the exclusive jurisdiction of the federal and state courts located in California for any legal proceedings.
- Arbitration: By using the Service, you agree that any dispute shall be resolved by binding arbitration administered by JAMS, except for disputes involving intellectual property rights or enforcement of these Terms.
15. Modifications to Terms & Service
- We may modify these Terms at any time. The "Last Updated" date at the top of this page indicates when changes were made.
- Continued use of the Service following notification of changes constitutes your acceptance of the updated Terms.
- Material changes will be announced via email or prominent notification on the Service.
- We reserve the right to modify, suspend, or discontinue the Service or features with notice.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements you have with IMSATYA, constitute the entire agreement between you and IMSATYA regarding the Service and supersede all prior agreements and understandings.
